This unit assists every consultancy need of the Institution regarding legal topics, as well as external clients who require it.

Objective of the Process:

Provide legal consultancy and support to the different dependencies of the Institute, as well as external clients who require it.

The main tasks of Legal Counsel are:

Provide legal counsel to the different collegiate bodies in the Institute, its different dependencies, and the external clients who require it.

The different legal processes where the Institute is included, and where it is responsible for the revision of legal requirements in different processes, are performed and given follow-up thanks to the coordination of the two units that make up the Legal Counsel: Legal Management Unit - Procedural, and Legal Management Unit - Administrative.

Legal Management Unit - Procedural:

  • Follow-up of the different legal processes where the Institute is included.
  • Serve as a governing body in administrative procedures.

Legal Management Unit - Administrative:

  • Tourism declaration and tourism contract.
  • Administrative contracting and cooperation agreements.
  • Concessions, cessions, and extension in the Maritime-Terrestrial Zone.
  • Concessions in the Golfo de Papagayo Tourism Development.
  • Creation of Law Projects or Regulations related to tourism.
  • Legal support to the Commission on Marinas and Tourist Piers (CIMAT).

The General Management Office is responsible for the effective and accurate administrative operations at ICT, as it is the unit in charge of implementing all activities related to the organization, operation and coordination of the different ICT departments in accordance with the resolutions issued by the Board of Directors and the legislation in force.

It is in charge of establishing and communicating the policies, guidelines, systems and procedures for the proper administration of human, material and financial resources. In addition, it periodically provides information to the Board of Directors and ensures the implementation of the agreements and resolutions that it issues.

The General Management Office also advises the Board of Directors on matters of tourism planning and development, tourism management, administration, finances and other issues, proposing relevant actions as needed to meet the established institutional objectives.

It also works continuously to propose administrative, legal, formal and informal modernization measures to the Board of Directors.

This unit is also responsible for the roles and powers it has been accorded in accordance with the law, ICT regulations and other permanent provisions, as well as delegated powers from the Minister’s office. These include representing the Minister in their absence in various political or technical situations.

To comply with the request from Ana Gabriel Zúñiga Aponte, Vice-Minister for Political Affairs and Citizen Dialog of the Ministry of the Presidency, which relates to compliance with Executive Order no. 38276-RE-MIDEPLAN-MICITT, “Fostering Good Governance in Public Institutions” and Executive Decree 39753-MP. We are taking this opportunity to inform you of a request from the Mixed Institute of Social Assistance (IMAS) to exempt its employees from paying tax on accommodation sales, as this was set out in Law 8653 “Financial Strengthening of the IMAS”, from which we cite below:

“IMAS is exempted from the payment of the tax on immovable property, income tax, fees and tolls, as well as the selective consumption tax for all importations and local purchases of goods and services it performs while carrying out its functions”.

The above is without prejudice to the verification mechanisms required for the correct implementation of this provision.

The main objective of the Executive Presidency is to support the administration and logistics of every action of the Executive President, who is the Senior Manager of the Institute.

It provides technical assistance to the Executive President to guarantee an efficient compliance of the duties and objectives of the Institute and report to the Board of Directors the correct operation of the Institution.

It guarantees the agreements of the Board of Directors are implemented, and coordinates the action of the entity with the other institutions of the State and the private sector.

The Executive President leads the actions related to airline attraction, and tourist market on an international level.

Some of his tasks are the representations of the Institute in different forums and meetings, as well as the celebration of bilateral and multilateral agreements of tourist cooperation, inter-institutional coordination, among others.

The board of directors is the Highest Hierarchical Body of the Institution, it has seven members: the Executive President, and six Directors, who are appointed by the Governing Board for 8 year periods, with the exception of the Executive President who is appointed for 4 years.

APPOINTMENT OF THE VICE PRESIDENT OF THE BOARD OF DIRECTORS

Section 27 and its amendment state that the Board of Directors will choose amongst the members a Vice President, who will be in the position for one year, with the possibility of reelection. Section 29 indicates that in the event of absence or temporary incapacity of the President, the Vice President will serve as replacement. When both of them are absent from a session, the Board will appoint one of their members as pro tempore President.

NOTICE FOR BOARD OF DIRECTORS MEETINGS

In regards to the call of the Board of Directors meetings, Section 22 of the ICT Organic Law indicates that the Board of Directors will meet in ordinary meeting once a week and in extraordinary meetings every time one is convened, in agreement with internal regulations.

MEETING QUORUM

The quorum in ordinary and extraordinary meetings is formed by four members, and the agreements will be reached by a majority of votes, except in the event of legal provisions stating the contrary. To reach a final agreement the presence of five members is necessary.

RECORDING SECRETARY

Additionally, the Meetings Regulations of the Board of Directors, published in the official newspaper, La Gaceta No. 25 from February 04, 2005, in Section 12 (Second Section), indicates that the Board of Directors will have a Recording Secretary who will take notes, prepare the acts, issue the corresponding files for each meeting, communicate the reached agreements, keep control and comply with them, sign the Official Acts, as well as perform the tasks delegated by the Board that have the purpose of preparing and facilitating the tasks of the Board (e.g. be the Governing Body of Administrative Procedures).

Today, aside from the seven Directors the meetings also have the participation of the General Manager, Legal Consultant, Internal Auditor, and the Recording Secretary.

RESPONSIBILITIES AND TASKS OF THE BOARD OF DIRECTORS

The responsibilities and tasks of the Board of Directors are stated in Section 26 of the ICT Organic Law, and in Section 3 of the Meetings Regulations of the Board of Directors.

Its mains tasks are the planning, coordination, execution, control, and supervision of every aspect related to information technologies needed by the Institute, in three large sub-processes: user support, System Engineering, and Platform and Network Administration.
